This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Logiciel PCBee inc. ("Company," "we," "us," or "our") governing your use of the Spokes software platform, including the self-hosted Spokes Server, official client applications, and associated services such as the Spokes Push Relay (collectively, the "Software").

By downloading, installing, compiling, or otherwise using the Software or related services, you agree to be bound by the terms of this Agreement and the applicable licenses incorporated herein. If you do not agree to these terms, do not install or use the Software.

1. Licensing Architecture

Spokes is composed of self-hosted server software, client applications, and optional cloud relay services:

Spokes Server (BSL 1.1): The server software is source-available under the Business Source License 1.1, converting to the Apache License 2.0 four years after each release. You are granted the right to inspect, compile, modify, redistribute, and make production use of the server for your own personal, internal, or commercial group communication, subject to the BSL terms and the Additional Use Grant outlined in Section 6.
Mobile & Client Applications: Official client applications distributed through application stores (e.g., Apple App Store, Google Play Store) are licensed for your personal or organizational use on compatible devices strictly in accordance with applicable app store terms and this Agreement.
Spokes Pass & Push Relay Service: The Spokes Pass is an optional paid subscription granting your server instance access to our external push notification relay infrastructure for delivering encrypted, low-latency mobile notifications via Apple APNs and Google FCM.

2. Self-Hosted Infrastructure and Data Privacy

Spokes is private, self-hosted software. You acknowledge and agree that:

You are solely responsible for provisioning, configuring, securing, and maintaining the servers and infrastructure where the Software is installed.
Logiciel PCBee inc. does not host, process, monitor, scan, or have access to any user data, messages, or files transmitted through or stored on your self-hosted instance.
You are solely responsible for regular data backups, operating system updates, server security, and complying with all applicable laws and regulations (including privacy regulations such as GDPR and CCPA) for your instance and its users.
Logiciel PCBee inc. shall not be held liable for any data breaches, data loss, server downtime, or unlawful conduct experienced on or facilitated by your self-hosted infrastructure.

3. Spokes Pass & Merchant of Record

While the Spokes Server is free and source-available to self-host, access to the external native mobile push notification relay beyond the included evaluation period requires a valid Spokes Pass subscription.

Payments for the Spokes Pass are processed by LemonSqueezy, acting as our official Merchant of Record. By purchasing a pass, you also agree to LemonSqueezy's Terms of Service and Privacy Policy. All payment processing, tax collection, and billing inquiries are handled directly by LemonSqueezy. In accordance with our Refund Policy, all digital subscription sales are final. Logiciel PCBee inc. only retains email addresses associated with active passes for license delivery and technical support purposes.

4. Disclaimer of Warranties

The Software and services are provided "as is" and "as available," with all faults and without warranty of any kind.

Logiciel PCBee inc. hereby disclaims all warranties and conditions with respect to the Software and relay services, either express, implied, or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. We do not warrant that the operation of the Software will be uninterrupted or error-free.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Logiciel PCBee inc. be liable for any special, incidental, indirect, or consequential damages whatsoever

(including, but not limited to, damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses) arising out of or related to your use or inability to use the Software or relay services, however caused, regardless of the theory of liability (contract, tort, or otherwise), and even if Logiciel PCBee inc. has been advised of the possibility of such damages.

In no event shall Logiciel PCBee inc.'s total aggregate liability to you for all claims exceed the amount actually paid by you for the Spokes Pass during the twelve (12) months preceding the claim.

6. Restrictions & Additional Use Grant

In accordance with the Business Source License 1.1 and this Agreement, you agree that you will not, and will not permit or assist others to:

No Managed Service or SaaS: Offer or provide the Spokes Server to third parties as a managed service, hosted solution, or Software-as-a-Service (SaaS).
No Commercial Push Relay Services: Market, offer, or sell commercial push notification relay services or mobile push delivery services designed to interface with the Software or derivative works thereof, without a separate commercial license from Logiciel PCBee inc.
No Circumvention: Circumvent, tamper with, alter, or forge the cryptographic license validation, HMAC signatures, or authentication tokens controlling access to the Spokes Push Relay infrastructure.
Trademarks & Branding: Use the name "Spokes," logos, or branding of Logiciel PCBee inc. in any manner that implies endorsement, sponsorship, or affiliation without prior written consent.
Unlawful Activities: Use the Software or relay services for any unlawful, fraudulent, or criminal purpose, or in violation of applicable laws and regulations (including economic sanctions and export control regulations).
Prohibition of CSAM/CSAE: Store, host, transmit, share, or process Child Sexual Abuse Material (CSAM) or Child Sexual Exploitation and Abuse (CSAE), all of which are strictly prohibited under this Agreement.
Malicious Software & Attacks: Use the Software to distribute malware (viruses, trojans, ransomware), conduct network attacks, or facilitate unauthorized surveillance.

7. Termination

Your rights to use the Software and services are granted strictly subject to your compliance with this Agreement and the applicable BSL 1.1 license. Under the terms of the BSL 1.1, any use of the Licensed Work in violation of the license automatically terminates your rights for the current and all other versions of the Software.

For cloud relay services, Logiciel PCBee inc. reserves the right to immediately suspend or revoke access to the Spokes Push Relay for any instance found to be in violation of the restrictions in Section 6 (including cryptographic tampering or unlawful conduct). While we do not inspect your self-hosted server or data, we will cooperate with legal authorities upon receiving valid legal process or court orders regarding unlawful activities.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
